1. The Promotion Period: The Epic Tour Promotion (the “Promotion”) begins at 12:01 a.m. Eastern Time (“ET”) on 6/26/09 and ends at 11:59 p.m. ET on 7/26/09 (the “Promotion Period”). The Promotion will consist of two (2) components: an Instant Win Game (“Game”) and a Grand Prize Sweepstakes (“Sweepstakes”). For the purpose of this Promotion, a day begins at 12:01 a.m. ET and ends at 11:59 p.m. ET.

2. How to Enter the Sweepstakes: During the Promotion Period, visit the Web Site, complete the online entry form, submit it in accordance with the on-screen directions, and you will be entered. Limit one (1) entry into the Sweepstakes per person, per email address and per household per day for the entire Promotion Period. Entries received from any person, email address or household in excess of the stated daily limitation will be void. Entries must be received by 11:59 p.m. ET on 7/26/09 to be eligible. Entries generated by script, macro or other automated means and entries by any means which subvert the entry process will be void. All entries become the sole property of Sponsor and will not be returned.

3. Sweepstakes Drawing and Notification: Potential winner will be selected from all eligible entries received in a random drawing held on or about 8/3/09 by Administrator, an independent judging organization whose decisions are final and binding in all respects. Odds of winning the prize depends upon the number of eligible entries received. The potential winner will be notified by phone, email and/or mail. If the potential winner cannot be reached within 7 days from the date of the first notification attempt, he/she shall be disqualified and, at Sponsor’s discretion and time permitting, an alternate winner will be selected.

4. To Play the Game: Upon submitting an entry into the Sweepstakes, you will have the opportunity to follow the instructions to play the Game. There will be up to four (4) winning moments per day for the Instant Win Game at randomly selected moments throughout each day of the Promotion Period. If you are the first to play at a randomly selected winning moment, as determined and verified by Sponsor, or if no one plays at such moment and you are the first to play immediately after such moment, as determined and verified by Sponsor, you will receive an instant win message stating the prize potentially won and instructions on how to redeem the prize, subject to verification of eligibility, game play and compliance with the these Official Rules. If you receive a winning message, follow the on-screen instructions to claim your prize by the deadline indicated. If you do not timely claim your prize it will be forfeited and not awarded. If you are not a Game winner, you may return to the Web Site to play again; however, there is a limit of one (1) game play per person, per email address, per household per day for the duration of the Promotion Period. Bonus Game Play: To receive up to five (5) bonus game plays each day during the Promotion Period, once you have played the Instant Win Game online, you can follow the directions to provide the unique and valid email addresses of up to five (5) different friends to receive up to five (5) bonus game plays. You may only refer persons with whom you have an existing relationship and who are eligible to participate in the Game. Each friend will be sent a refer-a-friend email solely notifying him/her about the Game. You may not refer a friend more than once. The bonus game plays must be used within ten (10) minutes of submission of email address(es) or it will be void. Limit five (5) bonus game plays per person and per email address per day. Bonus game plays received in excess of the stated daily limitation from any person or email address will be void. Odds of winning a Game Prize depend upon the actual number of eligible game plays received and the timing of the game plays. Game plays by any person, email address or household in excess of the stated daily limitation will be void. Game plays generated by script, macro or other automated means and game plays by any means which subvert the game play process will be void. Limit one (1) Game Prize per person and per email address and per household. Unclaimed Game Prizes will not be awarded.

5. Eligibility: Open to legal residents of the 50 United States and the District of Columbia, 21 years of age or older. Promotion is void where prohibited by law. Employees of Versus L.P. (“Sponsor”), Comcast Networks and Haley Miranda Group (“Administrator”), and their respective affiliated companies, parents, subsidiaries and advertising and promotion agencies (collectively, “Promotion Entities”), and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and members of their households, whether or not related, are not eligible to participate in this Promotion.

6. Prizes: Instant Win Game Prizes (100): A limited edition bike jersey. Sizes will be determined by Sponsor in its sole discretion. Approximate Retail Value (“ARV”): $75 each.

Sweepstakes Grand Prize (1): A trip for two (2) to the 2010 Tour de France (exact dates to be determined by Sponsor). Trip includes round-trip coach air transportation from a major U.S. gateway nearest winner’s residence, as determined by Sponsor, to destination, ground transportation to/from destination airport and hotel, standard hotel accommodations (one (1) room, double occupancy) for eleven (11) days and ten (10) nights (three (3) nights will be in Paris), the opportunity to ride select portions of the tour stages, the opportunity to cross tour finish lines, a VIP team meet and greet and the opportunity to ride in a team car within the peloton, VIP behind the scenes access, a customized bike (exact make and model to be determined by Sponsor in its sole discretion) for the winner only, and a sunset dinner cruise through Paris (exact date and dinner menu to be determined by Sponsor). Travel must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Trip must be taken on dates specified by Sponsor or prize will be forfeited and Sponsor will have no further obligation to such winner. Winner and guest must travel together on the same itinerary. Guest must be of legal age of majority in his/her state of residence (and at least 18 years of age), unless he/she is the child or legal ward of winner, and must sign and return a liability/publicity release prior to the issuance of travel documents. If guest is the child or legal ward of winner, winner must execute and return release on behalf of such child or legal ward. Winner and guest are responsible for obtaining all required travel documents prior to travel, including passports and/or visas. Accommodations, air-transportation, and activities are subject to availability. Certain travel restrictions may apply. ARV: $25,000. Actual value may vary based on point of departure and destination(s). Winner and guest agree to comply with all venue rules and regulations. Failure to do so may result in forfeiture such portion(s) of prize. In the event Sponsor is unable to provide a VIP team meet and greet, a ride in a team car within the peloton, VIP behind the scenes access or any other portion of the prize package for any reason, no compensation or substitution will be provided in lieu thereof; however, remainder of prize package will be awarded and Sponsor will have no further obligation to such winner. All costs, fees, and expenses associated with the acceptance and use of the prize not specifically specified herein as being provided are the sole responsibility of the winner, including luggage fees, ground transportation, meals, gratuities and souvenirs. Winner will be issued a 1099 tax form for the actual value of the prize.

Winner acknowledges that bicycling is a strenuous activity that may involve certain health related risks, including risk of physical injury. By agreeing to participate in bicycling portions of the Grand Prize, winner represents that he/she is in good physical condition and that he/she has the physical capacity to participate in any bicycling and understands and accept all risks associated with bicycling. Winner represents that he/she is participating in bicycling and any other Tour de France related activities voluntarily, with full knowledge of the potential risks entailed and he/she is expressly, knowingly and voluntarily assuming the risk of any and all physical injury associated with or caused by his/her participating in such activities.

General Prize conditions: Prizes are awarded “as is” with no warranty or guarantee either express or implied by Sponsor. All costs and expenses associated with prize acceptance and use not specified herein as being provided including federal, state, and local taxes are the sole responsibility of the winners. All prize details are at the sole discretion of the Sponsor. Sponsor reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. Prizes cannot be transferred or substituted or redeemed for cash except at Sponsor’s sole discretion.

7. Prize Conditions: Potential Sweepstakes Grand Prize winner will be required to execute an Affidavit of Eligibility, a Liability Release and a Publicity Release (where legal) (“Affidavit/Release”). Such document must be returned fully-executed within 7 days of date of issuance or prize will be forfeited and Sponsor will have no further obligation to such Grand Prize winner. If any prize or prize notification is returned as undeliverable, if a potential winner is found to be ineligible, or if he/she does not comply with these Official Rules, if Sponsor is unable to contact a potential winner within a reasonable time period, or if any potential winner is not in compliance with any of the requirements set forth herein, his/her prize will be forfeited and, if a Sweepstakes Grand Prize winner, at Sponsor’s discretion and time permitting, an alternate winner shall be selected. Except where prohibited by law, each winner’s entry and acceptance of the prize constitutes permission for the Promotion Entities and their respective designees to use his/her name, photograph, likeness, statements, biographical information, voice, and city and state address on a worldwide basis, and in all forms of media, now or hereafter devised, in perpetuity, without further compensation, notification or permission.

8. Promotion Conditions: This Promotion is subject to all applicable federal, state and local laws. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator, which shall be final and binding and waive any right to claim ambiguity in the Promotion or these Official Rules. Winner and entrants also agree to release, discharge, indemnify and hold harmless the Promotion Entities and each of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) from and against any claims, damages or liability due to any injuries, damages or losses to any person (including personal injury or death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize (including any travel/activity related thereto) or participation in the Promotion, or any claims based on rights of publicity, rights of privacy and/or merchandise delivery.

9. Limitations of Liability: In case of dispute as to the identity of any entrant, entry, bonus game play and/or game play will be declared made by the authorized account holder of the email address submitted at time of entry and/or game play provided he/she is eligible according to these Official Rules. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Potential winner may be requested to provide Sponsor with proof that such winner is the authorized account holder of the email address associated with the winning entry. Released Parties are not responsible for lost for late, lost, damaged, misdirected, incomplete, delayed, undeliverable, garbled, destroyed or inaccurate entries, email addresses or game plays (including bonus game plays) or prize claims due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or entries or game plays or prize claims not received for any other reason, including but not limited to, any hardware or software failures of any kind, lost or unavailable network, cable, satellite, Internet Service Provider or other connections, or failed, incomplete or garbled computer or telephone transmissions, printing, typographical, seeding or system errors and failures, or faulty transmissions, or for any errors, problems or malfunctions whether technical, computer, network, telephonic, mechanical, seeding, typographical, printing, human or otherwise, including any errors, problems or malfunctions which may occur in connection with the administration of the Promotion, the processing of entries, email addresses or game plays (including bonus game plays) or prize claims, the announcement of the prizes or in any Promotion-related materials. Sponsor may prohibit an entrant from participating in the Promotion or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives and void all associated entries and/or game plays and/or prize claims. If due to a computer, network, seeding, technical, mechanical, human, programming or other error, more Game Prizes are claimed for any day than are intended to be awarded for that day, Sponsor reserves the right to award the stated number of prize(s) for the day(s) at issue in a random drawing from among all valid prize claims received for such prize(s) for those day(s). In no event will Sponsor be liable for more than the stated number of prizes. If, in the Sponsor’s opinion, there is any suspected evidence of tampering with any portion of the Promotion, or if virus, bugs non-authorized human intervention, technical difficulties or other causes compromise the integrity, administration or conduct of the Promotion, the Sponsor reserves the right to void suspect game plays, prize claims and/or entries and to modify or terminate the Promotion (or portion thereof), and if terminated, at its sole discretion, to conduct a random drawing the Sweepstakes Grand Prize using all non-suspect, eligible entries received as of date of termination in a manner deemed reasonable by the Sponsor, in its sole discretion and to void any or all prize claims. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

10. Disputes: Except where prohibited, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Pennsylvania; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering a Sweepstakes, and in no event shall entrant be entitled to receive attorneys’ fees or other legal costs or expenses; and (c) entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Pennsylvania, without giving effect to any choice of law or conflict of law rules (whether of the State of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Pennsylvania.
